Amir Ovcina joined Clingen Callow & McLean, LLC in 2010. His practice focuses on a wide array of business transactions, which includes the representation of corporations, privately held companies, owners and executives of privately held companies, partnerships and high net worth individuals.
Representative Legal Matters:
- Issuance of approximately $380 million of common and preferred equity in connection with a company’s restructuring and emergence from Chapter 11
- Acquisition of a $93 million privately held company
- Drafted public company proxy statement in preparation for annual stockholder meeting
- Participation in and preparation of board of directors/managers minutes and consents
- Review and drafting of commercial leases, professional services agreements, and sales distribution agreements
Prior to joining the firm, Mr. Ovcina was an associate in the general corporate transactional practice group at Kirkland & Ellis LLP. Mr. Ovcina received his Bachelor of Arts degree from Northwestern University in 2001. Prior to law school, he worked as a strategy management consultant at Accenture, Ltd., in the Consumer Packaged Goods practice area. He also worked in the management development program of a local multi-billion dollar industrial supplies distributor, rotating through various sales and warehouse operations departments. Mr. Ovcina received his Juris Doctorate degree, magna cum laude from the University of Illinois College Of Law. After graduating from law school he was a public interest law initiative (“PILI”) fellow at the Community Economic Development Law Project.
