Mr. Salerno practices in the areas of business entity selection and formation, business transactions, lender representation, real estate transactions, and estate planning. Prior to joining Clingen, Callow and McLean, LLC, Phillip was an Associate attorney with a highly respected law firm located in Chicago’s loop where he represented a broad array of businesses and individuals.
Phillip started his professional services career with an industry leading public accounting firm as a Tax and Audit Associate. Prior to attending law school, he cultivated his public accounting experiences in private industry as a financial accounting systems coordinator for a multinational property management firm and as an operations manager for a food retailer.
Phillip's experiences in public practice and private industry provide him the unique ability to appreciate large scale transactions, as well as matters affecting small businesses and individuals.
Mr. Salerno’s representative transactions and experience include the following:
Counsel clients with respect to business entity selection and formation;
Design and draft organizational documents, including shareholder and operating agreements;
Negotiate and document the sale and purchase of privately held businesses including stock and membership unit transactions and the sale and purchase of business assets;
Draft agreements related to the sale and purchase of real estate and leasing transactions affecting office space, commercial units, and industrial buildings;
Document credit facilities for business lenders and facilitate the enforcement of loan documents;
Represent clients before the administrative hearing divisions of local government in matters involving business taxation and compliance with health and safety ordinances; and
Develop client understanding of the estate planning process and prepare powers of attorney, wills and trust agreements.
