Business Counseling
Ms. Healy represents a number of privately owned businesses as outside general counsel, advising them on formation and capitalization, buy-sell arrangements, shareholder issuess, employment termination, mergers and acquisitions, manufacturing, distribution and service agreements, trade secret and proprietary information agreements, litigation management and other general corporate representation.

Banking
She represents major financial institutions and local banks in connection with their loan documentation needs, including asset based financing, secured and unsecured lines of credit, term loans, real estate secured loans and loan work out issues.

Real Estate
Represents real estate owners, landlords, tenants, developers and builders with respect to acquisitions of improved and unimproved land, development, construction and commercial leasing.

Estate and Succession Planning
Provides estate planning and business succession planning for individuals and owners of privately held businesses. Ms. Healy counsels clients on proper plan design including the use of revocable and irrevocable trusts, family limited partnerships and limited liability companies, grantor retained annuity trusts and related investment based estate planning, and the use of charitable foundations and charitable vehicles to complement the client’s estate plan and overall planning objectives.

After graduation, Ms. Healy joined the firm of Leydig, Voit and Meyer, where she practiced as an Associate concentrating in chemical patent litigation, the prosecution of patents in chemical and mechanical areas and the prosecution of trademarks. She then joined the firm of Morrisey & Robinson where she concentrated her practice in corporate law, commercial real estate and estate planning.
